These Terms of Service (“Terms”) govern your access to and use of the website, applications, TETRA™ Healthcare Platform, and related services (collectively, the “Services”) provided by InPursuit Health, LLC (“InPursuit Health,” “we,” “us,” or “our”), a limited liability company organized under the laws of North Carolina.
By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Services.
InPursuit Health provides a healthcare technology platform that facilitates health data interoperability, AI-powered health insights, care coordination, and related services for individuals, healthcare providers, payers, employers, and pharmacies. Our Services include, but are not limited to:

To access certain features of our Services, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access to or use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.
You own your health data. InPursuit Health acts as a custodian of your health information, not an owner. You retain all rights to your personal health information at all times.
By using our Services, you grant InPursuit Health a limited, non-exclusive license to collect, process, store, and transmit your health data solely for the purpose of providing the Services. This license does not transfer ownership of your data and may be revoked at any time by deleting your account.
We will obtain your explicit consent before sharing your Protected Health Information (PHI) with third parties, except as required by law or as permitted under HIPAA for treatment, payment, and healthcare operations.

The Services, including all content, features, functionality, software, text, images, trademarks (including TETRA™, “Harness the Power of Your Data™,” and “Results Matter™”), and other intellectual property, are owned by InPursuit Health, LLC and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable license to access and use the Services for your personal, non-commercial use, subject to these Terms. This license does not include the right to modify, reproduce, distribute, create derivative works from, publicly display, or commercially exploit any aspect of the Services.
Our Services may integrate with or provide links to third-party services, including electronic health records systems, insurance platforms, wearable device providers, and other healthcare technology services. We are not responsible for the content, privacy practices, or availability of such third-party services. Your use of third-party services is subject to those third parties’ respective terms and policies.
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. To the fullest extent permitted by law, InPursuit Health disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
InPursuit Health does not provide medical advice. Our AI-powered insights and recommendations are intended for informational purposes only and should not be relied upon as a substitute for professional medical advice, diagnosis, or treatment. All AI recommendations include appropriate disclosures and are subject to human oversight.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INPURSUIT HEALTH AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICES.
IN NO EVENT SHALL INPURSUIT HEALTH’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE AMOUNT YOU PAID TO INPURSUIT HEALTH, IF ANY, DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
You agree to indemnify, defend, and hold harmless InPursuit Health, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of another.
These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of law principles. Any disputes arising under or in connection with these Terms shall be resolved through binding arbitration in Charlotte, North Carolina, in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the “Last Updated” date. Your continued use of the Services after such modifications constitutes acceptance of the updated Terms. If you do not agree to the modified Terms, you must discontinue use of the Services.
We may terminate or suspend your access to the Services at any time, with or without cause, with or without notice. Upon termination, your right to use the Services will immediately cease. You may request a copy of your data prior to or following termination in accordance with our data portability obligations under HIPAA and applicable law.
If any provision of these Terms is held to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms will remain in full force and effect.
